INCOTERMS
International commercial terms and risk management.
Understanding International Commercial Terms
Incoterms, or International Commercial Terms, are a series of pre-defined commercial terms published by the International Chamber of Commerce (ICC) that are widely used in international commercial transactions. These standard rules are intended to clearly communicate the tasks, costs, and risks associated with the transportation and delivery of goods.
At their core, Incoterms answer three vital questions in any international trade transaction: Who arranges and pays for carriage? Who bears the risk of loss or damage at various points during transit? And precisely where does delivery take place? By defining these responsibilities clearly between buyers and sellers, Incoterms prevent costly misunderstandings, legal disputes, and ambiguities in global trade contracts.
The terms are generally categorized into rules applicable to any mode or modes of transport, and rules applicable to sea and inland waterway transport. They dictate everything from minimum obligations like Ex Works (EXW), where the buyer handles all export and transport risks from the factory floor, to Delivered Duty Paid (DDP), where the seller assumes all responsibility for delivering the goods cleared for import to the buyer's doorstep.
For shipbrokers, charterers, and cargo owners, understanding and properly applying Incoterms is critical. Choosing the correct term directly impacts freight cost calculations, laytime arrangements, marine insurance obligations, and liability limits under charter parties and bills of lading.
